Gujarat Themis Biosyn Limited (GTBL) has entered into a definitive agreement to acquire 100% of Japan-based MicroBiopharm Japan (MBJ) for JPY 21.5 billion (around Rs 1,300 crore), marking a significant step in its transition to a global CDMO platform.
The deal, to be executed through a newly formed entity, Themis Biosyn Japan Limited, will be funded through a mix of debt and equity and is expected to boost earnings per share by FY27.
MBJ, which reported estimated FY26 revenues of ₹570 crore, brings advanced capabilities in microbial fermentation, plasmid DNA manufacturing, and bioconversion, along with three manufacturing facilities, two approved by US and Japanese regulators.
The acquisition, subject to regulatory approvals including Japan’s FEFTA, is slated for completion in Q2 FY2027. Following the announcement, GTBL shares rose over 4% in early trade.
